Parties
This Membership Agreement is between [LEGAL ENTITY NAME — TO BE PROVIDED], organized in Arizona, with an address at [BUSINESS ADDRESS — TO BE PROVIDED] (the "Advisory"), and the individual and business entity enrolling (the "Member").
Membership term
The initial membership term is 12 months beginning on the activation date.
Membership Term and Payment Frequency are separate. A Member who elects monthly billing is enrolled in a 12-month membership. Monthly billing is a payment schedule, not a month-to-month membership.
Membership fees
The Member's selected plan, billing frequency, initial charge, recurring amount, contract term, expected total contractual amount and renewal terms are displayed on the enrollment summary presented before payment and are incorporated into this Agreement by reference.
Membership fees are billed according to the plan selected at enrollment. Monthly billing is a payment schedule within a 12-month membership term, not a month-to-month membership.
Recurring payment authorization
Before payment, the Member must separately affirm: "I authorize [LEGAL ENTITY NAME — TO BE PROVIDED] and its payment processor to charge my selected payment method according to the recurring billing schedule described above and this Membership Agreement."
The Advisory retains a record of that authorization, including date and time, the accepting user, the agreement version, the selected plan, amount, billing frequency and term. That record survives any later change of payment method.
Services included
Membership may include: an initial 90-minute strategy session; monthly private advisory sessions; two monthly Growth Rooms; Quarterly Business Reviews; the Modern Agent Diagnostic™; the Modern Agent Score™; the Modern Agent Blueprint™; Three Moves™ planning; Modern Agent Operating System™ resources; the private Slack community; limited between-session Slack access to Dan; the annual Scottsdale Strategy Summit; Easy Street Offers strategic implementation assistance; selective strategic introductions; and other resources announced during the membership.
Specific program components may evolve as the Advisory improves.
Access boundaries
Membership does not provide unlimited personal access to Dan. Private advisory is provided according to the membership schedule. Slack may be used for concise questions between sessions. The Advisory does not guarantee immediate responses, specific Slack response times, 24/7 availability, unlimited calls, unlimited private consulting or emergency availability. Complex matters may be deferred to scheduled advisory sessions.
Scheduling
Private advisory sessions should be rescheduled at least 24 hours in advance. Unused monthly private sessions do not automatically accrue or roll forward unless approved in writing.
Scottsdale Summit
Membership includes access to the annual Advisory Summit as specified by the current program. Members are responsible for travel, airfare, lodging, ground transportation and optional activities. Dates, venues and programming may change.
Strategic introductions
Dan may selectively facilitate introductions within his professional network when he believes there is a relevant fit. Membership does not guarantee any particular introduction, or access to any individual, investor, capital, financing, investment, partnership, transaction, acquisition, sale or business outcome. The recipient of any proposed introduction retains complete discretion regarding whether to engage.
Capital, private equity and M&A
Discussions of capital strategy, private equity concepts, growth financing, acquisitions, M&A, recapitalization, enterprise value, exit preparation and strategic investors are strategic and educational. The Advisory is not acting as a securities broker-dealer, investment adviser, investment banker, attorney, CPA, tax adviser, business valuation professional or capital-placement agent. No portion of any membership fee is consideration for arranging a securities transaction. Members should engage appropriately licensed advisers before executing transactions.
Business valuation
Modern Agent Enterprise Value Readiness scores are strategic planning tools. They are not formal valuations, appraisals, fairness opinions, investment recommendations, statements of market value or guarantees regarding sale price.
Results
No result is guaranteed — including revenue, income, GCI, transactions, profit, growth, capital, financing, investor interest, valuation, business sale, enterprise value, ESO transaction volume, client acquisition or ROI. Case studies are individual examples and are not guarantees of future performance.
Member responsibility
The Member remains solely responsible for their own business decisions, employment decisions, marketing, contracts, regulatory compliance, brokerage compliance, licensing requirements, financial and capital decisions, professional advisers and technology implementation.
Confidentiality
Members may receive confidential information from Dan, the Advisory, other members, guest speakers and strategic partners during Growth Rooms, Slack and Summit sessions. Members must maintain reasonable confidentiality. Information identified as confidential, or that reasonably should be understood as confidential, may not be disclosed externally without permission.
Peer discussions
Statements made by other members are their own opinions. The Advisory is not responsible for advice supplied independently by another member.
Community conduct
The Community Guidelines are incorporated into this Agreement. Harassment, discrimination, threats, spam, unauthorized solicitation, disclosure of confidential information, recording private conversations without permission, redistributing Advisory materials, misrepresenting relationships with other members, and using membership primarily to solicit members are prohibited.
Recording
Sessions are recorded only when clearly disclosed in advance. Members may not record private conversations without permission.
Intellectual property
Membership grants an internal-use license to program materials. Members may use provided templates inside their own businesses. Members may not resell the program, republish proprietary training, sell templates, create competing courses from proprietary content, distribute member-only recordings, share credentials or publicly reproduce confidential materials without written permission.
Payment default
If a payment fails, the membership may be marked Payment issue, then Past due, and ultimately Suspended according to the Advisory's configured grace period. Failure of a payment method does not by itself terminate the Member's contractual obligations. Reasonable payment recovery procedures apply before suspension.
Cancellation and early termination

Renewal
Current renewal policy: NO AUTOMATIC RENEWAL. Where automatic renewal is enabled, it will be clearly disclosed before enrollment and accompanied by renewal notifications.
Refunds

Termination for conduct
The Advisory may suspend or terminate membership for material violations including nonpayment, abusive behavior, confidentiality breaches, unauthorized distribution of materials, security violations, fraud, illegal activity or material disruption of the community.
Limitation of liability and indemnification
[DRAFT — COUNSEL REVIEW REQUIRED.] The parties intend to include customary limitations of liability, exclusion of indirect, incidental, special, consequential and punitive damages, a liability cap tied to fees paid, allocation of member responsibility, indemnification for member misuse, and disclaimers relating to third-party services. Final language is subject to attorney review.
Governing law and disputes
This Agreement is governed by the laws of Arizona, with venue in Maricopa County, Arizona. Mediation required first: YES. Arbitration: NO — PENDING COUNSEL REVIEW. Class action waiver: NO — PENDING COUNSEL REVIEW. Notices are effective when sent to the notice email above and, where required, by certified mail to the business address.
Electronic communications consent
The Member consents to receive operational electronic communications relating to membership, payments, meetings, program changes, security, the Summit, account matters and legal notices. Marketing communications are managed separately and may be declined at any time.
